এই শর্তাবলী/ব্যবহারকারী চুক্তি মনোযোগ সহকারে পড়ুন। এই ওয়েবসাইটটি ব্যবহার করে অথবা এই ওয়েবসাইট থেকে পণ্য অর্ডার করার মাধ্যমে, আপনি সকল শর্তাবলী/ব্যবহারকারী চুক্তি দ্বারা আবদ্ধ হতে সম্মত হচ্ছেন।

“kioraa.com.bd”-এ আপনাকে স্বাগতম, যা এতদ্বারা “আমরা”, “আমাদের”, “প্ল্যাটফর্ম” বা “Kioraa” নামেও অভিহিত। একটি অনলাইন খুচরা দোকান হিসেবে, নিম্নলিখিত শর্তাবলী Kioraa-তে আপনার প্রবেশাধিকার এবং ব্যবহারকে নিয়ন্ত্রণ করে, যার মধ্যে এর ওয়েবসাইট এবং সংশ্লিষ্ট সাবডোমেন এবং পরিষেবাগুলি (সম্মিলিতভাবে “সাইট” হিসাবে অভিহিত) অন্তর্ভুক্ত। এই ওয়েবসাইটটি একটি প্ল্যাটফর্ম যা প্রসাধনী (cosmetics), সৌন্দর্য পণ্য, আনুষাঙ্গিক (accessories), এবং অ-ঔষধীয় ভেষজ (non-medicinal herbs) সহ কিন্তু এগুলির মধ্যে সীমাবদ্ধ নয় এমন পণ্যগুলির ক্রয়/বিক্রয়/সরবরাহ/বিতরণকে সহজতর করে, যা বিভিন্ন প্রাসঙ্গিক সরবরাহকারী/বিক্রেতা/আমদানিকারক যেমন ফার্মাসিউটিক্যালস, প্রস্তুতকারক, আমদানিকারক এবং পরিবেশকদের দ্বারা উৎপাদিত/প্রস্তুতকৃত/বিক্রয়কৃত/সরবরাহকৃত/আমদানিকৃত/বিতরণকৃত। Kioraa তার কোনো প্ল্যাটফর্মে, যার মধ্যে ওয়েবসাইট এবং সংশ্লিষ্ট সাবডোমেন এবং পরিষেবাগুলি (সম্মিলিতভাবে “সাইট” হিসাবে অভিহিত) অন্তর্ভুক্ত, কোনো পণ্য/সামগ্রী/পরিষেবা উৎপাদন/প্রস্তুত/চাষ/সমাবেশ/নির্মাণ করে না। Kioraa কর্তৃক এর গ্রাহক/ব্যবহারকারী/অতিথিদের জন্য উপলব্ধ পদ্ধতি ব্যবহার করে কেবল পণ্য বা পরিষেবাগুলি প্যাকিং, রিপ্যাকিং, সিল করা, মোড়ানো বা উপস্থাপন/প্রস্তুত করাকে এই ধরনের পণ্য বা পরিষেবাগুলির উৎপাদন/প্রস্তুত/চাষ/সমাবেশ/নির্মাণ হিসাবে গণ্য করা হবে না। পণ্য/পরিষেবাগুলি সেই সমস্ত স্বাভাবিক/আইনগত ব্যক্তিদের জন্য উপলব্ধ যারা সময়ে সময়ে Kioraa কর্তৃক নির্ধারিত পদ্ধতি অনুসরণ করে সাইটে নিবন্ধন করেছেন বা করেননি।

১. শর্তাবলী গ্রহণ

১.১. সাইটটি ব্যবহার করার মাধ্যমে, আপনি এই শর্তাবলী, গোপনীয়তা নীতি স্বীকার করছেন এবং সম্মতি দিচ্ছেন যে আপনি এই শর্তাবলী ও গোপনীয়তা নীতি মেনে চলবেন। আপনি যদি এই শর্তাবলী দ্বারা আবদ্ধ হতে অসম্মত হন, তাহলে অনুগ্রহ করে এই সাইটে প্রবেশ করবেন না, নিবন্ধন করবেন না বা ব্যবহার করবেন না।

১.২. এই সাইটটি পূর্বের কোনো বিজ্ঞপ্তি ছাড়াই যেকোনো সময় এই শর্তাবলীর সমস্ত বা যেকোনো অংশ পরিবর্তন, সংশোধন, যুক্ত বা অপসারণ করার অধিকার সংরক্ষণ করে। পরিবর্তনগুলি সাইটে পোস্ট করার সাথে সাথেই কার্যকর হবে, অন্য কোনো বিজ্ঞপ্তি প্রদান করা হবে না। আপডেটের জন্য অনুগ্রহ করে নিয়মিত এই শর্তাবলী পরীক্ষা করুন। শর্তাবলীতে পরিবর্তন পোস্ট করার পরে সাইটের আপনার ক্রমাগত ব্যবহার সেই পরিবর্তনগুলির প্রতি আপনার সম্মতিকে নির্দেশ করে।

১.৩. “আমি শর্তাবলী/গোপনীয়তা নীতি/রিটার্ন/এক্সচেঞ্জ ও রিফান্ড নীতি পড়েছি এবং গ্রহণ করছি” (“I have read and accept the Terms and Conditions/Privacy Policy/Return/Exchange & Refund Policy”) এ ক্লিক করার মাধ্যমে, ব্যবহারকারীরা ওয়েবসাইটে বর্ণিত সমস্ত শর্তাবলীর প্রতি তাদের সম্মতি নির্দেশ করে।

২. গোপনীয়তা নীতি (Privacy Policy)

আপনার গোপনীয়তা এবং আপনার ব্যক্তিগত তথ্যের সুরক্ষা আমাদের কাছে অত্যন্ত গুরুত্বপূর্ণ। আমরা আমাদের ব্যবহারকারী এবং তৃতীয় পক্ষের তথ্য সুরক্ষায় প্রতিশ্রুতিবদ্ধ। আমরা কোন তথ্য সংগ্রহ করি, কীভাবে এটি ব্যবহার করা হয় এবং এটিকে সুরক্ষিত করার জন্য আমরা কী ব্যবস্থা গ্রহণ করি সে সম্পর্কে বিস্তারিত তথ্যের জন্য, অনুগ্রহ করে আমাদের সম্পূর্ণ গোপনীয়তা নীতি দেখুন।

৩. গ্রাহক/ব্যবহারকারী/অতিথির দায়িত্ব

৩.১. গ্রাহক/ব্যবহারকারী তাদের ব্যবহারকারীর নাম, পাসওয়ার্ড এবং/অথবা অন্যান্য নিরাপত্তা তথ্যের গোপনীয়তা বজায় রাখার জন্য দায়ী। আপনার অ্যাকাউন্টের অধীনে পরিচালিত যেকোনো কার্যকলাপের জন্য আপনি দায়ী, তা অনুমোদিত হোক বা অননুমোদিত।

৩.২. যদিও আমরা নিরাপত্তা ব্যবস্থা ব্যবহার করি, তবুও ইন্টারনেটের মাধ্যমে যেকোনো বা সমস্ত ট্রান্সমিশন সবসময় ব্যক্তিগত বা সুরক্ষিত নাও হতে পারে। গ্রাহক/ব্যবহারকারী প্রেরিত তথ্যের সম্পূর্ণ দায়িত্ব নেন, এবং বাধা প্রাপ্ত যোগাযোগের জন্য Kioraa দায়ী নয়।

৩.৩. ব্যবহারকারীদের নিশ্চিত করতে হবে যে Kioraa-এর প্ল্যাটফর্মে (যেমন, ফেসবুক গ্রুপ) তারা যে কোনো বিষয়বস্তু পোস্ট করে তা প্রযোজ্য আইন ও বিধিমালা মেনে চলে। ব্যবহারকারীরা এমন বিষয়বস্তু পোস্ট করা থেকে বিরত থাকবেন যার মালিকানা তাদের নেই বা শেয়ার করার আইনি অধিকার তাদের নেই। Kioraa পূর্বের বিজ্ঞপ্তি ছাড়াই অ-সঙ্গত বিষয়বস্তু অপসারণের অধিকার সংরক্ষণ করে। ব্যবহারকারীরা যেকোনো লঙ্ঘন, যার মধ্যে আইনি দাবি বা জরিমানা অন্তর্ভুক্ত, তার পরিণতির জন্য সম্পূর্ণরূপে দায়ী।

৩.৪. পণ্য বা পরিষেবাগুলির বিতরণ সম্পন্ন করার জন্য প্রয়োজনীয় নাম, ঠিকানা, বিলিং ঠিকানা, ডেলিভারি/শিপিং ঠিকানা, যোগাযোগের তথ্য, অর্থপ্রদান ইত্যাদি সহ কিন্তু এগুলির মধ্যে সীমাবদ্ধ নয় এমন যেকোনো বা সমস্ত তথ্যের সঠিকতা/সংশোধনের জন্য গ্রাহক/ব্যবহারকারী দায়ী থাকবেন।

৪. মেধা সম্পত্তির অধিকার (Intellectual Property Rights)

৪.১. প্ল্যাটফর্মের সমস্ত বিষয়বস্তু এবং সামগ্রী Kioraa-এর মালিকানাধীন বা লাইসেন্সপ্রাপ্ত (Kioraa-এর মালিকানাধীন নয় এমন কোনো চিহ্ন, প্রতীক, লোগো, প্যাকেজিং, নিবন্ধিত ট্রেডমার্ক বা ব্র্যান্ডিং ব্যতীত—৪.৩ দেখুন) এবং প্রাসঙ্গিক মেধা সম্পত্তির আইন দ্বারা সুরক্ষিত। Kioraa-এর কাছে এই ওয়েবপৃষ্ঠার সমস্ত ট্রেডমার্ক এবং নির্দিষ্ট বিন্যাস, যার মধ্যে কল টু অ্যাকশন, পাঠ্য স্থাপন, ছবি এবং অন্যান্য তথ্য রয়েছে, সেগুলির অধিকারও রয়েছে।

৪.২. Kioraa-এর কাছ থেকে পূর্বের স্পষ্ট অনুমোদন ছাড়া আপনি প্ল্যাটফর্মের বিষয়বস্তু পুনরুত্পাদন, বিতরণ, পরিবর্তন, বা সেগুলির থেকে উদ্ভূত কাজ তৈরি করতে পারবেন না।

৪.৩. Kioraa-এর মালিকানাধীন নয় এমন কোনো চিহ্ন, প্রতীক, লোগো, প্যাকেজিং, নিবন্ধিত ট্রেডমার্ক বা ব্র্যান্ডিং তাদের নিজ নিজ মালিকদের সম্পত্তি এবং মেধা সম্পত্তির যেকোনো লঙ্ঘন অনিচ্ছাকৃত। যদি আপনার অধিকার (অনিচ্ছাকৃতভাবে) লঙ্ঘিত হয়, তবে অনুগ্রহ করে আমাদের সাথে যোগাযোগ করুন।

৪.৪. এই ওয়েবসাইটটি ব্যবহার করার মাধ্যমে, ব্যবহারকারীদের ওয়েবসাইটের বিষয়বস্তু এবং সামগ্রীগুলি তাদের স্বাভাবিক, অ-বাণিজ্যিক ব্যবহারের সাথে সংযোগে ব্যবহার করার জন্য একটি সীমিত, অ-একচেটিয়া, অ-হস্তান্তরযোগ্য অধিকার দেওয়া হয়।

৫. নিষিদ্ধ ব্যবহার (Prohibited Uses)

৫.১. ব্যবহারকারীদের প্ল্যাটফর্মটি কোনো অবৈধ উদ্দেশ্যে ব্যবহার করার, বেআইনিভাবে সাইটের কার্যক্রমে হস্তক্ষেপ করার, দূষিত ফাইল আপলোড করার, অননুমোদিত অ্যাক্সেসের চেষ্টা করার বা বলবৎ কোনো আইন লঙ্ঘন করার অনুমতি নেই।

৫.২. এই শর্তাবলী মেনে চলতে ব্যর্থ হলে অ্যাক্সেস স্থগিত বা সমাপ্তি, আইনি পদক্ষেপ বা ক্ষতির জন্য আর্থিক দাবির জন্ম দিতে পারে। ব্যবহারকারীর লঙ্ঘনের ফলে সৃষ্ট ক্ষতি এবং আইনি ব্যয়ের জন্য দাবি করার অধিকার Kioraa সংরক্ষণ করে।

৬. পরিষেবা সীমাবদ্ধতা (Service Limitations)

আমরা সাইটে নিবন্ধিত হোক বা না হোক, কারও বা সকলের কাছে পূর্বের কোনো বিজ্ঞপ্তি ছাড়াই প্ল্যাটফর্মের কোনো অংশ, এর বৈশিষ্ট্য এবং প্রচারমূলক কার্যক্রম প্রত্যাখ্যান, সংশোধন, স্থগিত বা বন্ধ করার অধিকার সংরক্ষণ করি।

৭. বহিরাগত লিঙ্ক (External Links)

বহিরাগত ওয়েবসাইটগুলিতে সমস্ত লিঙ্ক (যদি থাকে) ব্যবহারকারীর সুবিধার জন্য প্রদান করা হয়, এবং আমরা কোনো তৃতীয় পক্ষের ওয়েবসাইটের বিষয়বস্তু, গোপনীয়তা নীতি বা নির্ভরযোগ্যতার জন্য দায়ী থাকব না।

৮. জরিপ এবং প্রতিযোগিতা (Surveys and Contests)

জরিপ, প্রতিযোগিতা, প্রচারমূলক বা রেফারেল কর্মসূচিতে অংশগ্রহণ ঐচ্ছিক এবং এই কার্যক্রম/ইভেন্টগুলির সময় সংগৃহীত তথ্য পরিষেবা উন্নত করতে বা ব্যবহারকারীদের অবহিত করার জন্য সংরক্ষণ ও ব্যবহার করা যেতে পারে।

৯. পর্যবেক্ষণ এবং প্রয়োগ (Monitoring and Enforcement)

Kioraa প্ল্যাটফর্মে যেকোনো এবং সমস্ত ব্যবহারকারীর কার্যকলাপ পর্যবেক্ষণ করার অধিকার সংরক্ষণ করে। লঙ্ঘনের বিরুদ্ধে পদক্ষেপ নেওয়া যেতে পারে, যার মধ্যে পূর্বের কোনো বিজ্ঞপ্তি ছাড়াই অ্যাক্সেস স্থগিত বা সমাপ্তি বা প্রাসঙ্গিক কর্তৃপক্ষকে অবহিত করা অন্তর্ভুক্ত।

১০. তথ্যের সঠিকতা (Accuracy of Information)

১০.১ আমরা এই সাইটে বা এর যেকোনো সাবডোমেনে সর্বদা সঠিক এবং আপ-টু-ডেট তথ্য সরবরাহ করার চেষ্টা করি, কিন্তু এর সম্পূর্ণতা, সঠিকতা বা সময়োপযোগিতার গ্যারান্টি দিই না। ব্যবহারকারীরা যখন এবং যেখানে প্রয়োজন, সমালোচনামূলক বিবরণ যাচাই করার, পেশাদার পরামর্শ চাওয়ার বা আমাদের সাথে যোগাযোগ করার জন্য দায়ী বলে বিবেচিত হবেন।

১০.২ সাইটে প্রদর্শিত পণ্য/সামগ্রী/পরিষেবাগুলি কেবল একটি চাক্ষুষ উপস্থাপনা এবং তা আসল পণ্য নয়, এবং এটি আসল পণ্যের থেকে ভিন্ন হতে পারে, যার মধ্যে রয়েছে কিন্তু সীমাবদ্ধ নয়—রঙ, লেবেল, আকৃতি, আকার, উপস্থাপনা, প্যাকেজিং, পরিমাণ, স্কেল, যা নির্ভর করে গ্রাহক/ব্যবহারকারীর দেখার পদ্ধতি বা ব্যবহৃত মাধ্যমের উপর। তাছাড়া, গ্রাহক/ব্যবহারকারীর অনুরোধের ভিত্তিতে, Kioraa-এর সুবিধা অনুযায়ী পণ্য/সামগ্রীর ‘সরাসরি ছবি’ (‘direct image’) সরবরাহ করা যেতে পারে। দ্রষ্টব্য: সরাসরি ছবি বলতে কোনো প্রকার ‘পোস্ট-প্রসেসিং’ ছাড়া যেকোনো ধরনের ডিজিটাল ক্যামেরা ব্যবহার করে তোলা ছবিকে বোঝাবে এবং ছবি তোলার সময় বা পরে ক্যামেরা নিজেই যে প্রক্রিয়াকরণ করে তা পোস্ট-প্রসেসিং হিসাবে গণ্য হবে না।

১১. দায়বদ্ধতার সীমাবদ্ধতা (Limitations of Liability)

১১.১. আমরা তথ্য সম্পদ এবং আমাদের ব্যবসার প্রকৃতি রক্ষা করার জন্য যুক্তিসঙ্গত নিরাপত্তা অনুশীলন এবং পদ্ধতিগুলি প্রয়োগ করেছি। যদিও আমরা শিল্পের মানগুলির সাথে তুলনীয় নিরাপত্তা প্রদানের জন্য সচেষ্ট, ইন্টারনেটের অন্তর্নিহিত দুর্বলতার কারণে আপনার দ্বারা আমাদের কাছে প্রেরিত সমস্ত তথ্যের সম্পূর্ণ নিরাপত্তা নিশ্চিত বা ওয়ারেন্টি দিতে পারি না।

১১.২. পরোক্ষ, ফলস্বরূপ বা অপ্রত্যাশিত ক্ষতির জন্য Kioraa দায়ী নয়। ব্যবহারকারীরা Kioraa এবং এর যেকোনো ঠিকাদার, এজেন্ট, কর্মচারী, কর্মকর্তা, পরিচালক, শেয়ারহোল্ডার এবং সহযোগীদের সমস্ত দায়, দাবি, ক্ষতি, খরচ এবং ব্যয়, যুক্তিসঙ্গত অ্যাটর্নি ফি এবং তৃতীয় পক্ষের খরচ থেকে মুক্তি দিতে, ক্ষতিপূরণ দিতে, রক্ষা করতে এবং নির্দোষ রাখতে সম্মত হন। ১১.৩. সর্বোচ্চ দায়বদ্ধতা (যদি থাকে) ওয়েবসাইট বা এর যেকোনো সাবডোমেনের মাধ্যমে ক্রয় করা পণ্য বা পরিষেবার খরচের মধ্যে সীমাবদ্ধ।

১১.৪. Kioraa বা Kioraa-এর সাথে কোনোভাবে সরাসরি যুক্ত কেউ গ্রাহক/ব্যবহারকারীর সরবরাহকৃত ঠিকানায় পণ্যগুলি শিপিং/ডেলিভারি করার পরে তাদের কোনো ক্ষতি, ত্রুটি, অসঙ্গতি, ভুল, বিকৃতি বা পরিবর্তনের জন্য দায়ী থাকবে না। তবে, অনুচ্ছেদ ১১.২ সাপেক্ষে, বিরোধগুলি বন্ধুত্বপূর্ণভাবে নিষ্পত্তি/সমাধান করা যেতে পারে।

১১.৫. Kioraa বা Kioraa-এর সাথে সরাসরি যুক্ত বা সংযুক্ত কেউ কোনো পরিস্থিতিতেই পণ্য/সামগ্রী/পরিষেবার কোনো অবাঞ্ছিত ফলাফলের জন্য – যার মধ্যে চিকিৎসা, অ-চিকিৎসা, অ্যালার্জিক, চর্মরোগ সংক্রান্ত বা অনুরূপ প্রকৃতির কিছু অন্তর্ভুক্ত কিন্তু সীমাবদ্ধ নয় – দায়ী থাকবে না।

১২. প্রস্তুতকারক/বিক্রেতা/সরবরাহকারী/অংশীদার/পুনর্বিক্রেতা সম্মতি (Manufacturer/Vendor/Supplier/Partner/Reseller Compliance)

১২.১. Kioraa শুধুমাত্র একজন খুচরা বিক্রেতা (ডিজিটাল প্ল্যাটফর্ম) হিসাবে কাজ করে, প্রস্তুতকারক হিসাবে নয়, এবং প্রস্তুতকারক/বিক্রেতা/সরবরাহকারী/অংশীদার/পুনর্বিক্রেতা কর্তৃক সরবরাহকৃত পণ্যগুলির নিরাপত্তা এবং মানের জন্য দায়ী থাকবে না।

১২.২. প্রস্তুতকারক/বিক্রেতা/সরবরাহকারী/অংশীদার/পুনর্বিক্রেতা দ্বারা কোনো অ-সম্মতি বা নিয়ন্ত্রক লঙ্ঘনের জন্য Kioraa দায়ী নয়।

১২.৩. যেকোনো সাধারণ বা নির্দিষ্ট ক্যাটাগরি বা আইটেম পণ্য/সামগ্রীর জন্য, Kioraa বিভিন্ন সরবরাহকারী, পুনর্বিক্রেতা, পরিবেশক, আমদানিকারকদের কাছ থেকে একই পণ্য/সামগ্রী সংগ্রহ করতে পারে যারা বিভিন্ন অঞ্চল, দেশ, অবস্থান বা বাজারের হতে পারে।

১২.৪. যেহেতু Kioraa কেবলমাত্র একজন খুচরা বিক্রেতা; তাই কোনো নির্দিষ্ট পণ্য/সামগ্রীর ক্ষেত্রে এর প্রস্তুতকারক/উৎপাদক/চাষী/সমাবেশকারী/নির্মাণকারী কর্তৃক কোনো অঞ্চল বা বাজারের উপর নির্ভর করে এর রঙ, লেবেল, আকৃতি, আকার, উপস্থাপনা, প্যাকেজিং, পরিমাণ, স্কেল সহ কিন্তু এগুলির মধ্যে সীমাবদ্ধ নয় এমন কোনো পরিবর্তন করা হলে, পণ্য/সামগ্রীটিকে জাল/ত্রুটিপূর্ণ/নষ্ট হিসাবে গণ্য করা হবে না; এবং এই অনুচ্ছেদ এবং পূর্ববর্তী অনুচ্ছেদ থেকে উদ্ভূত কোনো দাবি, তা রিটার্ন/এক্সচেঞ্জ বা রিফান্ড হোক না কেন, তা শুরু থেকেই বাতিল বলে গণ্য হবে।

১৩. ব্যবহারকারীর ডেটা এবং গোপনীয়তা নীতি (User Data & Privacy Policy)

১৩.১. অনুগ্রহ করে আমাদের গোপনীয়তা নীতি পর্যালোচনা করুন, যা সাইটে আপনার পরিদর্শন/প্রবেশাধিকার/ব্যবহারকেও নিয়ন্ত্রণ করে। আপনার দ্বারা সরবরাহকৃত ব্যক্তিগত তথ্য/ব্যবহারকারীর ডেটা বা সাইটের আপনার ব্যবহার গোপনীয়তা নীতি এবং প্রযোজ্য আইন ও বিধিমালা অনুসারে কঠোরভাবে গোপনীয় হিসাবে বিবেচিত হবে। আপনি যদি আপনার তথ্য স্থানান্তরিত বা গোপনীয়তা নীতিতে নির্দিষ্ট উপায়ে ব্যবহার করার বিষয়ে আপত্তি জানান, তবে অনুগ্রহ করে সাইটটি ব্যবহার করা থেকে বিরত থাকুন।

১৩.২. Kioraa আইন দ্বারা প্রয়োজনীয় বা প্রাসঙ্গিক আইনি কর্তৃপক্ষের অনুরোধে ডেটা প্রকাশ করতে পারে বা নাও করতে পারে।

 

১৪. অনিবার্য কারণ (Force Majeure)

১৪.১. প্রাকৃতিক দুর্যোগ, যুদ্ধ বা সন্ত্রাসবাদের কাজ, সরকারী পদক্ষেপ বা প্রবিধান, শ্রম ধর্মঘট বা পরিবহন/ডেলিভারি বাধা সহ কিন্তু এগুলির মধ্যে সীমাবদ্ধ নয় এমন তার নিয়ন্ত্রণের বাইরের পরিস্থিতির কারণে কার্যকারিতা বা বিতরণে কোনো ব্যর্থতা বা বিলম্বের জন্য Kioraa দায়ী নয়।

১৪.২. অনিবার্য কারণের ঘটনা ঘটলে, Kioraa পূর্বের বিজ্ঞপ্তি ছাড়াই পরিষেবাগুলি (যার মধ্যে রিফান্ড, রিটার্ন/এক্সচেঞ্জ বা ডেলিভারি অন্তর্ভুক্ত কিন্তু সীমাবদ্ধ নয়) স্থগিত বা প্রত্যাহার করার অধিকার সংরক্ষণ করে।

১৫. অধিকার সংরক্ষণ (Reservation of Rights)

১৫.১. Kioraa পূর্বের বিজ্ঞপ্তি ছাড়াই এই শর্তাবলী সংশোধন, পরিবর্তন বা পরিবর্তন করার অধিকার রাখে।

১৫.৩. কোনো পরিবর্তনের পরে প্ল্যাটফর্মের ক্রমাগত ব্যবহার আপডেট করা শর্তাবলীর সাথে সম্মতি নির্দেশ করে।

১৫.৪. Kioraa সাইটে নিবন্ধিত হোক বা না হোক, যে কাউকে যেকোনো পণ্য/পরিষেবা প্রত্যাখ্যান/অস্বীকার/বাতিল করার অধিকার সংরক্ষণ করে, যাকে সে উপযুক্ত মনে করে।

১৫.৫. বিভিন্ন প্রাসঙ্গিক সরবরাহকারী/বিক্রেতা/আমদানিকারক যেমন ফার্মাসিউটিক্যালস, প্রস্তুতকারক, আমদানিকারক এবং পরিবেশকদের মধ্যেকার ব্যবস্থা/চুক্তি/সমঝোতা স্মারক (MoU) গোপনীয় এবং Kioraa-কে এই ধরনের ব্যবস্থা/চুক্তি/সমঝোতা স্মারকের শর্তাবলী প্রকাশ করতে বাধ্য করা/বলা/আদালতে নেওয়া যাবে না।

১৬. অধিকার সমাপ্তি (Termination of Rights)

১৬.১. ব্যবহারকারীরা যদি আর এই শর্তাবলীতে সম্মত না হন তবে ওয়েবসাইটের “আমাদের সাথে যোগাযোগ করুন” (Contact Us) পৃষ্ঠার মাধ্যমে অবহিত করে তাদের নিবন্ধন বাতিল করতে বা তাদের অ্যাকাউন্ট বা ডেটা মুছে ফেলার অনুরোধ করতে পারেন।

১৭.১. এই শর্তাবলী, গোপনীয়তা নীতির বিধানগুলির ব্যাখ্যা বা কার্যকর করার ক্ষেত্রে কোনো অসুবিধা দেখা দিলে, Kioraa অসুবিধা দূর করার উদ্দেশ্যে প্রয়োজনীয় বা উপযুক্ত বলে মনে করে এমন বিধান তৈরি করতে পারে, যার মধ্যে এই শর্তাবলী, গোপনীয়তা নীতির যেকোনো বিধানের যেকোনো অভিযোজন বা পরিবর্তন অন্তর্ভুক্ত এবং Kioraa বা এর প্রতিনিধির সিদ্ধান্ত চূড়ান্ত এবং যথেষ্ট হবে।

১৭.২. অসুবিধাগুলি বাণিজ্যিকভাবে যুক্তিসঙ্গত প্রচেষ্টার মাধ্যমে (যেমন পারস্পরিক সহযোগিতা, সালিশ এবং সদিচ্ছার সাথে আলোচনা) কাটিয়ে উঠতে হবে এবং ব্যবহারকারী/গ্রাহক/অতিথি কোনো আইনি প্রক্রিয়া শুরু করতে পারবেন না।

১৭.৩. ব্যবহারকারী/গ্রাহক/অতিথি স্বীকার করেন যে Kioraa ব্যক্তিদের সহায়তা করার জন্য চেষ্টা করবে, তবে প্রযুক্তিগত বা অপারেশনাল সীমাবদ্ধতার কারণে প্রতিটি অনুরোধ পুরোপুরি বা অবিলম্বে পূরণ করা সম্ভব নাও হতে পারে।

Welcome to “kioraa.com.bd”, also hereby referred to as “we”, “us”, “platform” or “Kioraa.” As an online retail shop, these following terms and conditions govern your access to and use of Kioraa, including its websites and related subdomains, and services (collectively referred to as the “Site”).

The Website is a platform that facilitates the purchase/sale/supply/distribute of including but not limited to cosmetics, beauty products, accessories, and non-medicinal herbs, produced/manufactured/sold/supplied/imported/distributed by various relevant suppliers/vendors/sellers/importers like pharmaceuticals, manufacturers, importers, and distributors. Kioraa does not produce/manufacture/grow/assemble/construct any of the products/goods/services available on its any of the platform including the websites and related subdomains, and services (collectively referred to as the “Site”). Merely packing, repacking, sealing, wrapping or presenting/preparing goods or services using available methods by Kioraa for its Customers/Users/Guests shall not be construed as producing/manufacturing/growing/assembling/constructing such goods or services. The Products/Services are available to natural/legal persons who have or have not registered on the Site following the procedures determined by Kioraa from time to time.

1. Acceptance of Terms   

1.1. By using the Site, you hereby accept these Terms & Conditions, Privacy Policy, and signify that you agree to comply with these Terms & Conditions and Privacy Policy. If you disagree to be bound by these Terms & Conditions, please do not access, register with, or use this Site.

1.2. The Site reserves the right to change, modify, add, or remove all or any of the portions of these Terms and Conditions at any time without any prior notification. 3.3. Users must ensure that any content they post on Kioraa’s platform (e.g, Facebook Group) complies with applicable laws and regulations. Users are prohibited from posting content they do not own or have the legal right to share. Kioraa reserves the right to remove non-compliant content without prior notice. Users are solely responsible for the consequences of any violations, including legal claims or penalties.

3.4. Customers/Users shall be responsible for the accuracy/correctness of any or all information, including but not limited to names, address, billing address, delivery/shipping address, contact information, payment, etc., necessary for the completion of the delivery of products or services rendered.

4. Intellectual Property Rights

4.1. All content and materials on the platform are owned or licensed by Kioraa except any mark, symbol, logo, packaging, registered trademark, or branding not owned by Kioraa(check 4.3 for more transparency) and protected under relevant intellectual property laws. Kioraa also has rights to all trademarks and specific layouts of this webpage, including calls to action, text placement, images, and other information.

4.2. You may not reproduce, distribute, modify, or create derivative works from the platform’s content without prior express authorization from Kioraa.

4.3. Any mark, symbol, logo, packaging, registered trademark, or branding not owned by Kioraa is the property of their respective owners, and any infringement of intellectual property is unintentional. If your rights are infringed (unintentionally) please Contact Us.

4.4. By using this Website, users are granted a limited, non-exclusive, non-transferable right to use the content and materials on the Website in connection with their normal, non-commercial use of the Website.

All links (if any) to external websites are provided for user convenience, and we will not be responsible for the content, privacy practices, or reliability of any third-party website.

8. Surveys and Contests

Participation in surveys, contests, promotional or referral programs is optional and information collected during these activities/events may be stored and used to improve services or notify users. 

9. Monitoring and Enforcement

Kioraa reserves the right to monitor any and all user activities on the platform. Actions may be taken against breaches, including suspending or terminating access without any prior notice or notifying relevant authorities.

10. Accuracy of Information

10.1 We always strive to provide accurate and up-to-date information on this site or any of its subdomains, but do not guarantee its completeness, accuracy, or timeliness. Users will be deemed responsible for verifying critical details, seeking professional advice, or contacting us if and when necessary. 

10.2 The products/goods/services displayed on the Site are merely a visual representation and not the original, and may differ from the original, including but not limited to colour label, shape, size, presentation, packaging, quantity, scale, depending on how the product/goods/services is viewed, or the medium used by the Customer/User.

Further, upon the request of the Customer/User, ‘direct image’ of the product/goods may be provided at the convenience of Kioraa.

Note: Direct Image shall mean an image captured using a digital camera of any type without any ‘post-processing’ and processing done by the camera itself while or after the photo is captured will not amount to post-processing.

 

11. Limitations of Liability

11.1. We have implemented reasonable security practices and procedures to protect the information assets and the nature of our business. While we strive to provide security commensurate with industry standards, we cannot ensure or warrant the complete security of all information transmitted to us by you due to the inherent vulnerabilities of the internet.

11.2. Kioraa is not liable for indirect, consequential, or unforeseeable damages. Users agree to release, indemnify, defend, and hold harmless Kioraa and any of its contractors, agents, employees, officers, directors, shareholders, and affiliates from all liabilities, claims, damages, costs, and expenses, including reasonable attorneys’ fees and expenses of third parties 

11.3. The maximum liability (if any) is limited to the cost of products or services purchased through the website or any of its subdomains.

11.4. Kioraa or anyone directly associated with Kioraa in any way will not be held responsible for any damage, defect, discrepancies, fault, distortion, or alteration of the products after they are shipped/delivered to the customer’s/user’s address– provided by the customer/user.

Provided that, subject to Article 11.2, disputes may be settled/resolved amicably.

11.4. Kioraa or anyone directly associated or connected with Kioraa shall not – under any circumstance– be held responsible for any undesirable outcome, including but not limited to medical, nonmedical, allergenic, dermatological, or anything of a similar nature, of the products/goods/services. 

  1. Manufacturer/Vendor/Supplier/Partner/Reseller Compliance

12.1. Kioraa acts solely as a retailer (digital platform) and not a manufacturer, and will not be held responsible for the safety and quality of the products provided by the  Manufacturer/Vendor/Supplier/Partner/Reseller.

12.2. Kioraa is not liable for any non-compliance or regulatory breaches by the Manufacturer/ Vendor/ Supplier/ Partner/ Reseller. 

12.3. For any general or specific category or item of goods/products, Kioraa may source the same products/goods from different suppliers, resellers, distributors, importers who may be of different region, country, location or market.

12.4. As Kioraa is merely a retailer; any changes made to a specific product/goods including but not limited to colour label, shape, size, presentation, packaging, quantity, scale, by its manufacturer/producer/grower/assembler/constructor depending on any region or market, will not amount to the product/goods being fake/faulty/defected; and any claims whether return/exchange or refund arising out of this Article and the preceding Article shall be null and void ab initio.

13. User Data & Privacy Policy

13.1. Please review our Privacy Policy, which also governs your visit/access/use to the Site. The personal information/user data provided by you or your use of the Site will be treated as strictly confidential, in accordance with the Privacy Policy and applicable laws and regulations. If you object to your information being transferred or used in the manner specified in the Privacy Policy, please refrain from using the Site.

13.2. Kioraa may or may not disclose data as required by law or upon request by relevant legal authorities. 

14. Force Majeure

14.1. Kioraa is not liable for any failure or delay in performance caused by circumstances beyond its control, including but not limited to Natural disasters, acts of war or terrorism, government actions or regulations, labor strikes or transportation/delivery disruptions.

14.2. In the event of a force majeure incident, Kioraa reserves the right to suspend or withdraw services (including but not limited to refund, return/exchange or delivery) without prior notice.   

15. Reservation of Rights

15.1. Kioraa retains the right to amend, alter, or modify these terms and conditions without prior notice.

15.2. Kioraa may suspend, withdraw, or change any part of its services at its sole discretion.

15.3. Continued use of the platform after any modifications indicates agreement with the updated terms.

15.4. Kioraa reserves the right to refuse/deny/cancel any products/services to anyone, whether registered on the Site or not, it deems fit.

15.5. The arrangement/ contract/ MoU between the various relevant suppliers/ vendors/ sellers/ importers, like pharmaceuticals, manufacturers, importers, and distributors, is confidential, and Kioraa cannot be forced/asked/taken to court to disclose the terms of such arrangement/ contract/ MoU.

  1. Termination of Rights

16.1. Users may terminate their registration or request deletion of their account or data by notifying us via the Contact Us page on the website if they no longer agree to these terms.

16.2. Kiora may or may not respect the users’ request and cannot be held responsible for any incident arising out of this, whether priorto  or after.

  1. Removal of Difficulties

17.1. If any difficulty arises in interpreting and or giving effect to the provisions of these Terms & Conditions, Privacy Policy, Kioraa may, make such provisions, including any adaptation or modification of any provision of these Terms & Conditions, Privacy Policy as appears to Kioraa to be necessary or expedient for the purpose of removing the difficulty and the decision of Kioraa or its representative shall be conclusive and sufficient.

17.2. Difficulties shall be overcome through commercially reasonable efforts (e.g. mutual cooperation, arbitration and good faith negotiations) and no legal proceedings can be initiated by the User/Customer/Guest.

17.3. Users/Customers/Guests acknowledge that while Kioraa will strive to assist individuals, it may not be possible to fulfil every request perfectly or immediately due to technical or operational constraints.
